Mergers & Acquisitions can bring inherited liabilities to a buyer, whether it is a share acquisition or an asset purchase.  This session combines the knowledge and experience of a leading intellectual property lawyer and a specialist IP underwriter to explain: the nature of intellectual property exposures, how they transfer to the acquirer, and how the risk can increase post-acquisition. We explain how these IP risks can be assessed, mitigated, and ultimately insured. We discuss the role of the risk manager in an M&A transaction and how this is necessary to avoid an M&A transaction team acquiring unwanted risk without the involvement of the risk manager, who often gets told after an acquisition!
